How long does incorporation take?

A new Hong Kong limited company takes about 5 to 7 days; the express service issues the certificates in 1 working day; buying a shelf company takes about 2 to 3 days.

What documents are needed?

Copies of the identity cards or passports of the shareholders and directors; the company name in Chinese and English, or in one language only; a copy of the company secretary's identity card (if the secretary is a company, its Certificate of Incorporation and Business Registration Certificate, which we can provide); and the registered address (which we can provide).

What is a company secretary?

Hong Kong company law requires every limited company to have a statutory secretary. The secretary arranges meetings, prepares minutes and files statutory documents with government departments so that the company meets its legal obligations, and assists with opening bank accounts.

Who is qualified to be a company secretary?

The statutory secretary must be a Hong Kong resident or a body corporate; if a body corporate, it must be a limited company incorporated in Hong Kong.

When is the Annual Return due, and what happens if it is late?

A private company must file its Annual Return (Form NAR1) with the Companies Registry within 42 days of the anniversary of incorporation; the on-time registration fee is $105. Filed late, the fee is $870 for 42 days to 3 months, $1,740 for 3 to 6 months, $2,610 for 6 to 9 months and $3,480 beyond 9 months (source: Companies Registry). While we act as your company secretary, we remind your company before the deadline and file on its behalf.

What if there is no suitable person to act as statutory secretary?

You can appoint us. Your company provides the current secretary's particulars, and we handle the change and report it to the Companies Registry.
