Registration guide

Statutory requirements for a limited company

Incorporating a limited company in Hong Kong requires three things: at least one shareholder and one director aged 18 or over, who may be a mainland Chinese resident or a foreign national holding a passport or identity card; a registered address in Hong Kong; and a statutory company secretary who is a Hong Kong resident or a Hong Kong limited company. We can provide both the registered address and the company secretary.

Documents required

  • Copies of the identity cards or passports of the shareholders and directors
  • The company name in Chinese and English, or in one language only
  • A copy of the company secretary’s identity card; if the secretary is a company, its Certificate of Incorporation and Business Registration Certificate (which we can provide)
  • The registered address (which we can provide)

Time required

A new Hong Kong limited company takes about 5 to 7 days; the express service issues the certificates in 1 working day. Buying a shelf company takes about 2 to 3 days.

Statutory duties every year after incorporation

Every year the company must file an Annual Return (Form NAR1) with the Companies Registry and renew its Business Registration Certificate with the Inland Revenue Department. A private company must file the Annual Return within 42 days of the anniversary of incorporation; the on-time registration fee is $105. Filed late, the fee rises with the delay:

Filed late byRegistration fee
42 days to 3 months$870
3 to 6 months$1,740
6 to 9 months$2,610
beyond 9 months$3,480

(source: Companies Registry). The business registration renewal fee is as published by the government.

In addition, every Hong Kong company must keep a Significant Controllers Register and appoint a designated representative. Our company secretary service reminds your company before each deadline and files on its behalf.

What are the requirements for incorporating a limited company in Hong Kong?
At least one shareholder and one director aged 18 or over, who may be a mainland Chinese resident or a foreign national holding a passport or identity card; an address in Hong Kong to serve as the registered address; and a statutory company secretary who is a Hong Kong resident or a Hong Kong limited company. We can provide both the registered address and the company secretary.
How long does incorporation take?
A new Hong Kong limited company takes about 5 to 7 days; the express service issues the certificates in 1 working day; buying a shelf company takes about 2 to 3 days.
What documents are needed?
Copies of the identity cards or passports of the shareholders and directors; the company name in Chinese and English, or in one language only; a copy of the company secretary's identity card (if the secretary is a company, its Certificate of Incorporation and Business Registration Certificate, which we can provide); and the registered address (which we can provide).
What must the company file with the government every year after incorporation?
Every year the company must file an Annual Return (Form NAR1) with the Companies Registry and renew its Business Registration Certificate with the Inland Revenue Department. A private company must file the Annual Return within 42 days of the anniversary of incorporation; the on-time registration fee is $105. Filed late, the fee is $870 for 42 days to 3 months, $1,740 for 3 to 6 months, $2,610 for 6 to 9 months and $3,480 beyond 9 months (source: Companies Registry). The business registration renewal fee is as published by the government. Our company secretary service reminds your company before each deadline.
What is the difference between a shareholder and a director?
A shareholder is entitled to attend general meetings and vote in proportion to their shareholding, inspect the company's business and financial position, elect and be elected as a director, receive dividends, take up shares transferred by other shareholders and new shares ahead of outsiders, share in the remaining assets on a winding up, consider the annual audited accounts, and appoint or remove directors and set their remuneration. A director is responsible for the company's day-to-day operation and decisions, keeping its accounting and business records, managing its bank accounts, borrowing on the company's behalf and charging its assets, proposing profit distributions and increases in registered capital, and convening general meetings and carrying out their resolutions.
Can the same person be both shareholder and director?
Yes. A limited company needs at least one shareholder and one director, and the shareholder may also serve as the director.
Can a non-Hong Kong resident be a shareholder or director?
Yes. Anyone aged 18 or over who holds a passport or identity card, whether a mainland Chinese resident or a foreign national, may serve. A non-resident may be appointed without holding a passport, but if the company intends to open a bank account in Hong Kong, the shareholders and directors must hold a valid passport or travel permit and an identity card.
Can a limited company be a shareholder or director of another limited company?
Yes.
Are the details of directors and shareholders made public?
Yes. The particulars of every limited company registered in Hong Kong, including shareholders' names, addresses and shareholdings, and directors' names, identity card or passport numbers and addresses, are open to public inspection.
Must the company name relate to its business?
No. Hong Kong places few restrictions on business scope; within the law a company may carry on any kind of business, for example finance, healthcare, import and export, construction and fitting-out, information networks, garments and textiles, travel, or culture and publishing.
Can the company register a Chinese name only, or an English name only?
Yes. If the company needs a bank account, it must register an English name.
What words may the company name contain?
Whatever the registered capital, a company name may include words such as International, Group, Holdings, Industrial, Investment, Institute, Association or Research Institute, and may be prefixed with a place name such as France, USA, Italy, Japan or Shanghai.
Can a mainland Chinese resident set up a Hong Kong company?
Yes.
